Acceptance and Definitions

These Terms of Service ("Terms") are a legal agreement between you and Tryfifty Canada inc. (legal name in French: Cinquante essais Canada inc.) ("Practly," "we," "us," or "our"), a company incorporated under the laws of Quebec, Canada.

By accessing or using Practly's website, applications, or services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

Definitions

For purposes of these Terms:

  • "Account" means a registered user account on Practly.
  • "Content" means any text, writing samples, exercise responses, messages, or other material you submit to or generate using the Service.
  • "Credits" means the units used to access paid AI features of the Service. Credits are a limited license to use the Service; they are not money, stored value, or a gift card, and have no cash value except as expressly provided in §7.
  • "Subscription" means a recurring paid plan (Practly Pro) that grants a monthly allotment of Credits.
  • "Credit Pack" means a one-time purchase of Credits, separate from a Subscription.
  • "Session" means a single end-to-end interaction with the Practly tutoring system, which consumes Credits.
  • "Welcome Credits" means the free Credits granted to new users on signup, as described in §6.
  • "You" means the individual using the Service.

Eligibility

To use Practly, you must:

  • Be at least 16 years old
  • Have the legal capacity to enter into a binding contract under the laws of your jurisdiction
  • Not be prohibited from using the Service under applicable laws

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We may refuse, suspend, or terminate Service to anyone at our discretion, including if we believe these eligibility requirements are not met.

Account Registration

To use most features of Practly, you must create an Account. When you register:

You agree to:

  • Provide accurate, current, and complete information
  • Maintain the accuracy of your information
  • Keep your password and login credentials confidential
  • Notify us promptly at privacy@practly.io if you suspect unauthorized access to your Account
  • Be responsible for all activity that occurs under your Account

You may not:

  • Create an Account on behalf of another person without their authorization
  • Share your Account credentials with others
  • Use another user's Account without permission
  • Create multiple Accounts to circumvent any limits, suspensions, or restrictions

We reserve the right to verify your identity, suspend Accounts that appear to violate these Terms, and refuse Service at our discretion.

Description of Service

Practly is an AI-powered English language tutoring service designed to help learners improve their language skills, with a focus on preparation for English proficiency tests such as CELPIP.

The Service provides:

  • Analysis of your submitted content for errors and improvement opportunities
  • Personalized exercises and learning paths adapted to your skill level
  • Interactive tutor dialogue, including Socratic questioning, explanations, and feedback
  • Estimated proficiency scores for practice purposes
  • Progress tracking across sessions

Paid AI features of the Service run on Credits. Each paid action consumes Credits — for example, generating an essay score or running a tutoring Session. Writing practice itself is free. The Credit cost of each action is shown in the Service before you confirm it. Credit costs and the way Credits are granted are described in §5 and §6.

The Service relies on artificial intelligence systems, including AI providers Anthropic and OpenAI, to deliver tutoring functionality. As described further in §10 (AI Service Limitations), AI outputs may contain errors and are not a substitute for human instruction or official testing.

We may modify, suspend, or discontinue any feature of the Service at any time, with or without notice, where reasonable. We will provide notice of material changes that affect the Service in a way that significantly reduces functionality you have paid for.

Credits, Subscription, and Billing

5.1 Credit costs

Paid AI actions are paid for with Credits. Current Credit costs:

We may adjust Credit costs prospectively. We will post changes in the Service and will not retroactively increase the cost of Credits you have already purchased.

5.2 Practly Pro subscription

Practly Pro is $19.00 USD per month and grants 100 Credits at the start of each billing cycle. Subscription Credits are granted for that cycle only and expire at the end of the cycle (see §5.8).

5.3 Credit packs

You may buy one-time Credit Packs, with or without a Subscription:

Active Practly Pro subscribers receive 15% off every Credit Pack, applied at checkout. Credit Pack Credits do not expire (see §7.5 for what happens if the Service is discontinued).

Plans, prices, Credit allotments, and pack contents may change. We will provide notice of any changes that affect existing Subscriptions before they take effect.

5.4 Billing cycle and automatic renewal

Subscriptions are billed monthly in advance. Your Subscription begins on the date your first payment is processed and renews automatically every month on the same date until you cancel.

By starting a Subscription or buying a Credit Pack, you authorize Practly (through our payment processor, Stripe) to charge your payment method — and, for a Subscription, to charge it automatically at the start of each billing cycle, including at renewal, until you cancel.

5.5 Renewal notifications

We will send you a renewal notification by email at least 7 days before each Subscription renewal. The notification will include the renewal date, the amount that will be charged, and instructions for canceling your Subscription if you wish to do so.

For Subscriptions of one year or longer, we will provide notice at least 30 days before renewal, in accordance with Quebec's Consumer Protection Act.

5.6 Currency, taxes, and payment processor

All prices are in U.S. dollars (USD).

Applicable taxes (such as Canadian GST/HST/QST or sales tax in your jurisdiction) may be added to the price at checkout based on your billing location.

Payments are processed by Stripe, Inc., an independent third-party payment processor. By making a payment, you also agree to Stripe's terms of service. Practly does not store your full credit card information; Stripe handles all card data in accordance with PCI-DSS standards.

5.7 Payment failures

If your payment method is declined or a payment fails:

  • We will attempt to charge your payment method again
  • If the payment continues to fail, your Subscription may be suspended or terminated
  • You remain responsible for any unpaid amounts
  • You can update your payment method at any time in your account settings

5.8 Credit grants, expiry, and spending order

  • Subscription Credits are granted at the start of each billing cycle and expire at the end of that cycle. They do not roll over.
  • Welcome Credits expire 30 days after signup (see §6).
  • Credit Pack Credits do not expire.

When you take an action, Credits are drawn from your soonest-to-expire balance first (Welcome, then Subscription), and never-expiring Credit Pack Credits last. If you do not have enough Credits for an action, you will be prompted to buy a Credit Pack or subscribe.

5.9 Price changes

We may change Subscription or Credit Pack prices from time to time. If we increase the price of your existing Subscription:

  • We will provide at least 30 days advance notice by email
  • The new price will apply to your next renewal after the notice period
  • You may cancel your Subscription before the new price takes effect to avoid the increase

Welcome Credits and Promotions

6.1 Welcome Credits

New members receive 50 Welcome Credits on signup, valid for 30 days, with no payment information required.

  • Welcome Credits are limited to one grant per person and have no cash value.
  • Creating multiple Accounts to obtain additional Welcome Credits violates these Terms (see §3 and §8) and may result in Account suspension.
  • After your Welcome Credits are used or expire, you may buy a Credit Pack or subscribe to continue using paid features (see §5).

6.2 Launch promotion

During our launch promotion, essay scoring is free (costs 0 Credits). We will give reasonable advance notice in the Service before essay scoring begins consuming Credits. Other paid actions, such as tutoring Sessions, consume Credits as described in §5.1.

We may modify, limit, or end any promotion at any time, with notice where required. Promotional Credits, if any, have no cash value and are not refundable.

6.3 Free practice

Writing practice is always free and does not consume Credits.

Refunds, Cancellation, and Discontinuation

7.1 Cancellation

You may cancel your Subscription at any time using the cancellation feature in your account settings.

When you cancel:

  • Your Subscription remains active until the end of your current billing period
  • You keep that period's Subscription Credits until they expire normally at the end of the period
  • Your payment method will not be charged again
  • Your Account remains active, and any Welcome or Credit Pack Credits you still hold remain available

You can also reactivate your Subscription at any time before the current billing period ends.

7.2 Subscription refund eligibility

You may request a full refund of your first Subscription payment if both of the following are true:

  • The refund is requested within 14 days of your first Subscription payment
  • You have not spent any Subscription Credits from that Subscription

Welcome Credits, promotional Credits, and Credit Pack Credits do not count toward this condition.

7.3 Subscription refunds not available

Subscription refunds are not available in the following circumstances:

  • Renewal payments after your initial Subscription period
  • A Subscription where you have spent one or more Subscription Credits
  • Refund requests made after the 14-day window has expired
  • Pro-rated refunds for unused Subscription Credits, days, or features
  • Account terminations resulting from violation of these Terms (see §12)

7.4 Credit packs

Credit Packs are delivered immediately, and Credit Pack Credits never expire. Credit Pack purchases are non-refundable once completed, except as required by applicable law or as provided in §7.5.

7.5 If we discontinue the Service

If we permanently discontinue Practly or the Credit program, we will give at least 30 days' notice and refund the unused portion of any purchased Credit Pack Credits, valued at the price you paid for them. Welcome Credits, promotional Credits, and Subscription-cycle Credits are not refundable.

7.6 How to request a refund

To request a refund:

  1. Email privacy@practly.io within the applicable window
  2. Include your account email and the reason for your refund request

We will review your request and confirm eligibility within 14 business days. If approved, refunds are processed through Stripe and typically appear on your payment method within 5 to 10 business days, depending on your bank or card issuer.

7.7 Statutory rights

The refund policy above does not limit any non-waivable rights you may have under applicable consumer protection laws, including Quebec's Consumer Protection Act and similar laws in your jurisdiction. If you believe you are entitled to a refund under such laws, contact us at privacy@practly.io.

Acceptable Use

You agree to use Practly only for its intended purpose: improving your own English language skills.

8.1 Prohibited uses

You may not, and you may not permit others to:

(a) Misuse the AI tutoring system

  • Submit content that is not your own writing for evaluation, except where the Service explicitly invites this (such as evaluating provided practice prompts)
  • Use Practly as a general-purpose AI assistant unrelated to language learning
  • Attempt to extract, copy, or replicate Practly's prompts, system instructions, learning algorithms, or proprietary methods
  • Use Practly's outputs to train, fine-tune, or develop competing AI models or services

(b) Attempt to manipulate the system

  • Use prompts, instructions, or techniques designed to bypass, manipulate, or circumvent Practly's intended behavior (commonly known as "jailbreaking" or "prompt injection")
  • Attempt to make the AI produce content unrelated to language tutoring
  • Submit content designed to extract information about Practly's underlying systems

(c) Abuse Service limits

  • Create multiple Accounts to circumvent Welcome Credit grants, Subscription limits, or suspensions
  • Use automated tools, scripts, or bots to interact with the Service
  • Resell, sublicense, or commercially exploit access to the Service
  • Share Account access with others

(d) Harm the Service or other users

  • Submit malware, viruses, or other harmful code
  • Attempt to disrupt the Service or its infrastructure
  • Conduct security research, penetration testing, or vulnerability scanning without our prior written permission
  • Use the Service to harass, defame, or harm others

(e) Violate laws or rights

  • Use the Service for any unlawful purpose
  • Submit content that infringes the intellectual property, privacy, or other rights of any person
  • Submit content that is illegal in your jurisdiction or in Canada

8.2 Content restrictions

You agree not to submit Content that:

  • Contains personal information of others without their consent
  • Is intended to harass, threaten, defame, or harm any person
  • Promotes illegal activities, violence, or hatred
  • Contains sexually explicit material involving any person
  • Contains malicious code

We may review, restrict, or remove Content that we reasonably believe violates these Terms or applicable law. We are not obligated to monitor Content but reserve the right to do so.

8.3 Consequences of violation

If we determine that you have violated this section, we may, at our discretion:

  • Issue a warning
  • Restrict your access to certain features
  • Suspend your Account temporarily or permanently
  • Terminate your Subscription without refund (see §7.3)
  • Take legal action where appropriate

We will use reasonable judgment in applying these consequences proportionate to the violation.

Your Content and License

9.1 Ownership of Your Content

You retain all ownership rights in the Content you submit to Practly, including your essays, exercise responses, messages, and any other material you create using the Service. We do not claim ownership of Your Content.

9.2 License you grant to Practly

To operate the Service, we need certain permissions to use Your Content. By submitting Content to Practly, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Store, process, and transmit Your Content as necessary to provide the Service to you
  • Analyze Your Content to identify errors, generate feedback, and personalize your learning experience
  • Send Your Content to our AI subprocessors (Anthropic, OpenAI) solely to provide tutoring functionality, as described in our Privacy Policy
  • Create derived data (such as error patterns, progress metrics, and aggregate statistics)

This license is strictly limited to operating the Service for you. We will not use Your Content for any other purpose — including for improving Practly or training AI models — unless you separately and explicitly opt in (see §9.3 below).

9.3 Service improvement (optional, opt-in only)

Practly may use Your Content to improve our service and train our AI models, but only if you explicitly opt in. Without your opt-in consent, we will not use Your Content for these purposes.

If you have opted in (as described in our Privacy Policy §3, purpose #7), you grant us an additional license to use anonymized versions of Your Content to:

  • Improve Practly's tutoring quality
  • Refine teaching prompts and exercise types
  • Train Practly's own AI models

You can withdraw this consent at any time in your account settings. Withdrawal applies to future use only and does not affect anonymized data already incorporated into existing systems or models.

9.4 Practly's outputs

The feedback, explanations, scores, exercises, and other outputs Practly provides during your Sessions ("Practly Outputs") are generated for your personal use as part of the Service.

You may use Practly Outputs for your own learning. You may not:

  • Republish, redistribute, or sell Practly Outputs
  • Use Practly Outputs to train competing AI models or services (see §8.1(a))
  • Remove or obscure any attribution that may be displayed with Practly Outputs

9.5 Your representations about Your Content

By submitting Content, you represent and warrant that:

  • You own or have the necessary rights to submit Your Content
  • Your Content does not infringe the rights of any third party
  • Your Content complies with these Terms (see §8.2)

9.6 Removal of Content

You may delete Your Content from your account at any time using account features. After deletion, retention is governed by our Privacy Policy (see §7 of the Privacy Policy).

We may also remove or restrict access to Your Content if we reasonably believe it violates these Terms or applicable law.

AI Service Limitations

Practly is an AI-powered tutoring service. Before using the Service, please read and understand the following limitations.

10.1 Practly's outputs are for educational purposes only

Practly's outputs — including error identification, score estimates, explanations, exercises, and tutoring feedback — are provided for educational and practice purposes only.

Specifically:

  • Score estimates are not official test scores. Any proficiency level estimates Practly provides (such as approximate CLB scores or test-style score ranges) are intended to help you understand your current level during practice. They are not produced or endorsed by any official testing organization.
  • Score estimates do not predict your actual test results. Real test outcomes are influenced by test-day conditions, the specific test version, individual variability, and many other factors that no preparation tool can fully predict.
  • Practly does not guarantee any specific test outcome. We make no promises that using the Service will result in a particular score, level, or test result.

10.2 AI errors

AI systems can make mistakes. Practly's outputs may sometimes contain errors, including:

  • Incorrect identification of errors in your writing (false positives or false negatives)
  • Inaccurate explanations of grammar or vocabulary rules
  • Misinterpretation of what you intended to write
  • Inconsistent feedback across sessions

We work continuously to improve the accuracy of our system. If you notice an error in our feedback, you can let us know at hello@practly.io.

10.3 Not a substitute for human instruction

Practly is designed to support your independent practice and self-study. The Service is not a substitute for:

  • A qualified human English teacher or tutor
  • Official test preparation courses
  • Professional language assessment

We recommend using Practly as one of several resources in your preparation, not as your sole source of instruction.

10.4 No affiliation with testing organizations

Practly is not affiliated with, endorsed by, or sponsored by Paragon Testing Enterprises (the operator of CELPIP), the British Council, IDP, Cambridge Assessment, ETS, or any other testing organization.

References to specific tests in the Service or in our marketing are for descriptive purposes only and do not imply any partnership, endorsement, or official preparation status.

10.5 You assume responsibility for your test outcomes

You acknowledge and agree that:

  • Your test outcomes depend on factors beyond Practly's control or influence
  • Practly is not responsible for your performance on any actual test
  • Practly is not responsible for decisions you make based on Practly's outputs (such as deciding when to take a test, which test to take, or how to interpret your skill level)
  • Refunds will not be granted based on test outcomes (see §7)

10.6 No professional advice

Practly does not provide:

  • Immigration advice
  • Legal advice
  • Career counseling
  • Educational counseling

Any information about tests, scores, or proficiency levels provided through the Service is general educational information only. For decisions about immigration, employment, education, or legal matters, consult qualified professionals.

Intellectual Property

11.1 Practly's intellectual property

Practly and its licensors retain all rights, title, and interest in and to:

  • The Practly software, platform, and Service infrastructure
  • The Practly name, logo, branding, and visual identity
  • The teaching methodology, prompts, system instructions, exercise formats, scoring rubrics, and other proprietary content used to operate the Service
  • All content created by Practly (such as instructional materials, example exercises, and documentation), excluding User Content and Practly Outputs as governed by §9

These materials are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any ownership of Practly's intellectual property.

11.2 Limited license to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial language learning purposes.

This license does not allow you to:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer or attempt to extract the source code of the Service
  • Remove any copyright, trademark, or other proprietary notices

11.3 Trademark notice

"Practly" is a trademark of Tryfifty Canada inc. Other names referenced in the Service or these Terms (including names of testing organizations) are the property of their respective owners and are used for descriptive purposes only.

11.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without obligation to you.

Termination

12.1 Termination by you

You may terminate your relationship with Practly at any time by:

  • Canceling your Subscription (see §7.1)
  • Deleting your Account using the account deletion feature

Termination takes effect immediately upon completion of these actions, except that your Subscription remains active until the end of your current billing period.

12.2 Termination by Practly

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that:

  • You have violated these Terms (including §8 Acceptable Use)
  • Continued provision of the Service to you would expose Practly or other users to legal, security, or operational risk
  • We are required to do so by applicable law or legal process

We may also terminate the Service or any part of it (for all users) with reasonable advance notice.

12.3 Effect of termination

Upon termination of your Account:

  • Your right to access the Service ends
  • Any remaining Credit balance (Welcome, Subscription, and Credit Pack Credits) is forfeited (no refund, except a pending refund you are already eligible for under §7.2 or §7.5)
  • Provisions that by their nature should survive termination will survive, including: §9 (license to retained data), §10 (limitations), §11 (intellectual property), §13 (disclaimers), §14 (limitation of liability), §15 (governing law), and any payment obligations

12.4 Data after termination

After termination, your data is handled according to our Privacy Policy (see §7 of the Privacy Policy).

Disclaimers

13.1 Service provided "as is"

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, Practly disclaims all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, timely, secure, or error-free
  • Warranties that the AI outputs will be accurate, reliable, or complete
  • Warranties regarding the results you may obtain from using the Service

13.2 Third-party services

The Service relies on third-party providers (including Anthropic, OpenAI, AWS, Stripe, Resend, Sentry, and Google). Practly is not responsible for outages, errors, or changes in third-party services that affect Practly's availability or functionality.

13.3 No guarantee of test outcomes

Without limiting §10, Practly makes no representation or warranty that using the Service will result in any specific test score, language proficiency level, immigration outcome, employment outcome, or other result.

13.4 Statutory rights preserved

Some jurisdictions do not allow the exclusion of certain warranties. To the extent that any warranty cannot be excluded under applicable law (including consumer protection laws in Quebec and other jurisdictions), the exclusions in this section do not apply to you, and any non-excludable warranty is limited to the minimum extent required by law.

Limitation of Liability

14.1 Limitation of damages

To the maximum extent permitted by applicable law, Practly and its officers, directors, employees, contractors, and affiliates will not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from your inability to access or use the Service
  • Damages arising from third-party services or content
  • Damages arising from your reliance on Practly's outputs (including score estimates and tutoring feedback)

14.2 Cap on direct damages

To the maximum extent permitted by applicable law, Practly's total aggregate liability to you for any direct damages arising out of or relating to these Terms or the Service will not exceed the greater of: (a) the total amount you paid to Practly in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (USD $100).

14.3 Statutory rights preserved

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent that any limitation in this section is not permitted under applicable law (including consumer protection laws in Quebec and other jurisdictions), the limitation does not apply to you, and Practly's liability is limited to the minimum extent required by law.

14.4 Basis of the bargain

You acknowledge that the limitations in this section are a fundamental basis of these Terms and that we would not be able to provide the Service to you on the current terms without these limitations.

Governing Law and Disputes

15.1 Governing law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

15.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Montreal, Quebec, Canada, and you consent to the personal jurisdiction of those courts.

15.3 Informal resolution first

Before filing a legal claim, you agree to first contact us at privacy@practly.io and attempt in good faith to resolve the dispute informally. We will respond within 30 days. Many disputes can be resolved without litigation.

15.4 Statutory rights preserved

If you are a consumer in Quebec, the European Union, the United Kingdom, South Korea, or another jurisdiction with mandatory consumer protection laws, you may have the right to bring legal action in your local courts and under your local laws, regardless of the provisions in §15.1 and §15.2. Nothing in these Terms removes those rights.

General Provisions

16.1 Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify you by:

  • Updating the "Last Updated" date at the top of these Terms
  • For significant changes, sending an email to your registered email address at least 30 days before the changes take effect
  • For changes that require your consent, requesting renewed consent before the changes apply to you

The current version of these Terms is always available at https://practly.io/terms. By continuing to use the Service after changes take effect, you accept the updated Terms.

16.2 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Practly regarding the Service. They supersede any prior agreements or understandings.

16.3 No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

16.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.5 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms to a successor entity (such as in connection with a merger, acquisition, or sale of assets) with notice to you.

16.6 Force majeure

Practly is not liable for failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, network outages, third-party service failures, or government actions.

16.7 Language

These Terms are provided in English. If we provide translations into other languages, the English version controls in case of conflict, except where required otherwise by applicable law (such as for Quebec residents under Bill 96, where the French version may control).
